We are currently looking for a Group Head of Corporate Secretary to join our Corporate Legal & Corporate Governance and Compliance Department within Risk, who ensures the effective functioning of corporate governance practices, compliance with legal and regulatory requirements, and proper coordination between the Board of Directors, shareholders, and Senior Management across the Group.

Roles and objectives:

• Ensuring the highest governance standards in a regulated KVG structure (KAGB, AIFMD, UCITS).
• Responsibility for proper corporate governance (Management Boards, Supervisory Boards), including a Supervisory Board with a one-third co-determination.
• Governance coordination within the international group structure (including SE structure at holding company level) and ensuring consistency and standardization of governance practices across all subsidiaries/jurisdictions across multiple entities.
• Collaborate with senior management across different entities to align on and harmonize standards, processes and procedures.
• Ensure group wide understanding of key decisions and resolutions. Improve transparency of processes and procedures across entities to support functional organization.
• Direct reporting to the ManCo’s Management Board, with a functional reporting line to the SE holding company.
• High visibility to group management and supervisory bodies.

Key responsibilities:

• Preparation and follow‑up of all board and committee meetings, including resolution documentation.
• Monitoring compliance with corporate and regulatory requirements (AktG, GmbHG, SE Regulation, KAGB).
• Supporting board appointments, fit‑and‑proper procedures, and mandate documentation.
• Coordination with Compliance, Risk Management, and Internal Audit functions.
• Support in special audits, Section 44 KWG/KAGB audits, and annual financial statement audits.
• Oversee statutory filings with regulatory bodies, including annual reports (in cooperation with Finance) and other necessary filings.
• Manage shareholder communications, including resolutions, decision making / approvals etc.
• Provide strategic input in M&A activities and structural changes.

Your skills and experience:

• Fully qualified lawyer or comparable academic qualification with a focus on corporate law and financial regulation.
• At least 5-10 years in a regulated financial environment (ManCo, financial institution, Big Four, or comparable).
• Strong knowledge of governance structures preferably in Germany and Luxembourg. Experience in multi-jurisdictional environments is advantageous.
• Proven experience in supporting co‑determined supervisory boards.
• Confident interaction with Management Boards, Supervisory Boards, and international stakeholders.
• Business‑fluent German and English skills.
• Proactive and independent working attitude with strong decision-making capabilities.
• High level of integrity, strong ethical standards and confidentiality.
• Ability to manage multiple stakeholders and competing priorities/demands.
• Excellent communication skills. Strong problem solving and strategic thinking availabilities.

Your tasks and responsibilities:

• Lead and develop the IAM team (coordination, prioritization, coaching)

• Demonstrated hands-on capability in IAM:
  • AD / Entra ID
  • IAM processes: Joiner-Mover-Leaver, RBAC/SoD, access reviews, recertifications
  • MFA, Conditional Access, privileged accounts and service accounts
  • Integration with Okta or similar IGA tooling
• Experience in running BAU IAM operations in complex environments
• Experience delivering IAM-related projects
• Strong understanding of:

We are looking for a System Engineer with Core Infrastructure knowledge to join our IT Infrastructure team in Frankfurt. The role focuses on the operation, administration, and reliability of Microsoft based enterprise infrastructure, with particular emphasis on Active Directory, Group Policy, virtualization, and core Windows services. The position is intended for an experienced, hands-on infrastructure engineer who can operate systems independently within established frameworks and processes, while ensuring secure, compliant, and stable operations in a BaFin-regulated environment.

Your tasks and responsibilities:

Infrastructure Operations (BAU)

• Operate and maintain core IT infrastructure services ensuring availability, stability, and performance
• Independently handle day-to-day operational tasks within defined standards and procedures
• Analyze and resolve infrastructure incidents, contributing to root cause analysis
• Execute approved changes in line with formal change management processes
• Participate in on-call rotation (if applicable)
• Maintain accurate technical and operational documentation

Active Directory & Identity Management

• Administration of Microsoft Active Directory (on‑premises): users, groups, computers, and Organizational Units.
• Implementation, maintenance, and troubleshooting of Group Policy Objects
• Resolve authentication, replication, and directory service issues
• Support identity lifecycle management (joiners, movers, leavers)
• Exposure to Microsoft Entra ID (Azure AD) and hybrid identity environments is appreciated

Virtualization & Server Management

• Provisioning, operation, and lifecycle management of virtual machines
• Administration of Windows Server environments including configuration and hardening
• Monitor server performance, resource utilization, and capacity
• Experience with Hyper-V virtualization is highly appreciated

DNS & Core Infrastructure Services

• Administration and troubleshooting of DNS services
• Support core Microsoft infrastructure services such as certificates coming from internal AD CS
• Ensure stable integration between directory services, DNS, and network components

Email & Messaging Platforms

• Operation and support of enterprise email platforms (on‑premises Exchange and/or Exchange Online)
• Troubleshoot mail flow, access issues, and mailbox-related incidents
• Support controlled operational changes while maintaining availability and compliance

Security, Patching & Regulatory Compliance

• Execute Windows Server patching activities in defined maintenance windows
• Apply system hardening measures and baseline security configurations
• Support vulnerability remediation in collaboration with security teams
• Ensure compliance with BaFin-relevant requirements such as auditability and access control

 
Your skills and experience:

• Solid hands-on experience with Active Directory
• Practical experience managing Group Policies
• Good knowledge of Windows Server administration
• Experience managing virtual machines
• Strong understanding of DNS and core Microsoft infrastructure services
• Strong PowerShell scripting for administration and automation
• 3–5 years of professional experience in a System Engineer or Infrastructure Engineer role
• Experience supporting enterprise IT environments
• Degree in Information Technology, Computer Science, or equivalent professional experience
• German – professional working proficiency (required)
• English – professional working proficiency (required)

 
Nice to have:

• Experience with Hyper-V virtualization
• Exposure to Microsoft Entra ID (Azure AD) and hybrid identity models
• Experience with enterprise email platforms (Exchange Online or hybrid Exchange)
• Experience with infrastructure monitoring solutions such as SCOM, PRTG, or comparable platforms
• Experience working in financial services or regulated environments

• Quick learner with very good communication skills
• Ability to work independently
• Good interpersonal skills to network, communicate and interact with people internally and externally, solution oriented
• Client centric mindset and superior customer service focus SharePoint knowledge
• Fluency in German and English.
